1. These terms and who they bind

ProfitForce is provided by Luminous Software Andrii Zhezhel, a sole proprietorship registered in Poland (CEIDG), ul. Pokorna 2/1152, 00-199 Warszawa, Poland, NIP 5272830712, REGON 523650121 ("we", "us"). "ProfitForce" is the trade name of the software.

"You" means the business that opens a ProfitForce account and every person who uses it on that business's behalf. By creating an account, or by using ProfitForce, you accept these terms on behalf of that business and confirm you are entitled to do so.

ProfitForce is a tool for businesses. You confirm that you use it for the purposes of a trade, business or profession, and not as a consumer.

2. The service

ProfitForce is a web application for running a small company's administration: invoices and corrections, bills, business partners and their register data, payments and bank matching, bank accounts and statements, books and tax filings, contracts, staff and payroll records, and related reports and exports.

We develop the service continuously. We may add, change or remove features, and we may set technical limits such as storage or request rates. Features marked as beta, preview or experimental may change or be withdrawn without notice. We will not remove a feature you depend on for statutory filings without giving you a reasonable way to obtain the same result.

3. Your account

  • You give accurate details about your business and keep them current.
  • You keep your sign-in credentials and API keys secret and tell us at once if you suspect they were misused.
  • You are responsible for the people you invite, the roles you give them and everything done through your account.
  • One account belongs to one business. A group of companies may run several companies under one account.

4. Bank connections

ProfitForce can read your company's bank accounts so that bank movements arrive in your books automatically. This feature is optional. When you use it, the following applies.

  1. Provider. The access is provided by Enable Banking Oy, Otakaari 5, 02150 Espoo, Finland, a registered Account Information Service Provider supervised by the Finnish Financial Supervisory Authority. When you authorise a connection you also accept Enable Banking's own terms, which are shown to you during authorisation. ProfitForce is not a bank, a payment institution or an account information service provider.
  2. Your entitlement. You confirm that you are the holder of each account you connect, or that the holder has authorised you to grant access to it.
  3. Read-only. The access covers account details, balances and transactions. ProfitForce cannot initiate payments or change anything at your bank.
  4. Duration. An authorisation lasts for the period your bank allows, at most 180 days. When it lapses, fetching stops until you connect again. You can end an authorisation at any time in the application or at your bank.
  5. The data is your bank's. We show balances and transactions as your bank hands them over. We do not verify them. Your bank remains the authoritative record.
  6. Limits. Banks limit how often data may be fetched, usually a few times a day for each account. We fetch within those limits, and we may pause fetching for an account that a bank rejects repeatedly.

5. Your data

Everything you enter, import or fetch into ProfitForce stays yours. You give us the right to store and process it only as far as needed to provide the service to you. You can export your records at any time in the formats the application offers.

How we handle personal data is described in our Privacy Notice. For the personal data inside your books, such as the details of your staff, customers and suppliers, your business is the controller and we are your processor. As your processor we:

  • process that data only on your instructions, which you give by using the service, and only to provide it;
  • keep it confidential and bind our staff to confidentiality;
  • protect it with appropriate technical and organisational measures;
  • use only the sub-processors listed in the Privacy Notice, and tell you at least 14 days before adding or replacing one, so that you can object;
  • help you answer requests from the people the data concerns and meet your own obligations, as far as we reasonably can;
  • tell you without undue delay if we learn of a personal data breach affecting your data;
  • delete or return the data when the service ends, subject to retention the law requires;
  • give you the information needed to show that these duties are met, and allow audits on reasonable written notice.

This section is the data processing agreement between you and us under Article 28 of the GDPR.

6. Not tax, legal or accounting advice

ProfitForce computes figures from the data you give it and the rules we implement. It is a tool, not an accountant, a tax adviser or a lawyer. You remain responsible for the correctness and completeness of your data, for reviewing what the application produces, and for filing and paying on time. Check outputs with a qualified professional where the stakes require it. We are not a licensed accounting office unless a separate written agreement says so.

7. Acceptable use

You use ProfitForce lawfully and do not:

  • connect bank accounts, or enter data, that you have no right to use;
  • try to gain access to accounts, data or systems that are not yours;
  • interfere with the service, probe it for weaknesses without our written permission, or send abusive volumes of requests;
  • copy, reverse engineer or resell the service, or build a competing product from it, without our written agreement;
  • upload unlawful content or malware.

We may suspend an account that breaks these rules, and we tell you when we do, unless the law or the safety of the service does not allow it.

8. Fees and payment

  • Fees are those on the price list at profitforce.cc or in the written offer you accepted. Prices are net and VAT is added where due.
  • Fees are charged monthly in advance unless your offer says otherwise. An agreed free trial period is free of charge.
  • We may change prices with at least 30 days' notice by e-mail. A change applies from your next billing period after the notice.
  • If an invoice stays unpaid 14 days after a reminder, we may make your account read-only until it is paid, and after a further 30 days we may terminate it under section 13. You can export your data while the account is read-only.

9. Availability and support

We work to keep ProfitForce available around the clock and announce planned maintenance in advance where we can. Unless a written service level agreement says otherwise, we do not guarantee a particular uptime. Support is by e-mail on business days in Poland.

10. Third-party services

ProfitForce depends on systems we do not control: your bank and Enable Banking, the Polish Ministry of Finance's KSeF and its tax gateways, public business registers, and our hosting and network providers. We are not responsible for their availability, their changes or the content they return, and a fault on their side does not make us in breach of these terms.

11. Intellectual property

The service, its software, design and documentation are ours or our licensors'. You receive a non-exclusive, non-transferable right to use the service during the term of your account, for your business. Your data stays yours. If you send us suggestions, we may use them without owing you anything.

12. Liability

We are liable for damage we cause intentionally or through gross negligence without limit. Otherwise, to the extent the law permits:

  • we are not liable for lost profits, lost data that you could have exported, or indirect losses;
  • we are not liable for penalties, interest or other consequences of filings or payments that were late or incorrect because of data you entered, data you did not review, or the unavailability of a third-party system listed in section 10;
  • our total liability for all claims in any twelve-month period is limited to the fees you paid us for the twelve months before the event giving rise to the claim.

Nothing in these terms limits liability that cannot be limited by law.

13. Term and termination

  • Your account runs for an indefinite period. You can close it at any time in the application or by e-mail, with effect from the end of the current billing period. Fees already paid are not refunded, except where the law requires.
  • We may terminate your account with 14 days' notice if you materially breach these terms and do not cure the breach in that time, and without notice if you use the service unlawfully or in a way that endangers it or other customers.
  • After termination you have 30 days to export your data. Then we delete it, except what the law requires us to keep, as described in the Privacy Notice.

14. Changes to these terms

We may change these terms. We tell you by e-mail or in the application at least 14 days before a change takes effect. If you do not agree, you may close your account before that date. Using the service after the date means you accept the new terms. Changes required by law, or that only add features, may take effect at once.

15. Governing law and disputes

These terms are governed by Polish law. We first try to settle any dispute amicably. If that fails, the courts competent for our registered seat decide. These terms are published in English; a Polish version will follow, and where the two differ the Polish version prevails once it is published.
